Deliverables from Service Engagements
Ownership of deliverables produced during a service engagement will be set out in the relevant Statement of Work. In the absence of a specific agreement, Elden retains intellectual property rights in methodologies, model architectures, and reusable components, while the client receives a licence to use the outputs produced specifically for their engagement.
6. Payment Terms
All fees are quoted in Malaysian Ringgit (RM) unless otherwise agreed in writing. Standard payment terms for our engagements are as follows:
- A deposit of 50% of the engagement fee is due upon confirmation of the Statement of Work.
- The remaining 50% is due upon delivery of the agreed final deliverables.
- Invoices are payable within 14 calendar days of issue.
- Late payment may result in suspension of work until outstanding amounts are settled.
Our current service prices are: AI for Claims Processing — RM 4,000; Topic Modelling Service — RM 2,300; AI Opportunity Mapping — RM 850. Prices are subject to change and do not include any applicable taxes.
Refund Policy
Deposits are non-refundable once work has commenced. If an engagement is terminated by the client before completion, fees for work completed to that point will be assessed and invoiced pro rata. If Elden is unable to complete an engagement due to circumstances within our control, a proportionate refund of fees paid will be issued.
7. Service Delivery Terms
- Engagement timelines are estimates based on standard project conditions and reasonable client cooperation.
- Delays caused by the client's unavailability, late provision of required materials, or scope changes may extend timelines accordingly.
- Elden will communicate any material delay in writing as soon as it is identified.
- The scope of each engagement is defined in the Statement of Work. Changes to scope require written agreement and may affect price and timeline.
8. Confidentiality
Both parties agree to treat all non-public information shared during an engagement as confidential. Elden will not disclose client data, documents, or business information to third parties except as necessary to deliver the agreed services, or as required by law. This obligation survives the conclusion of an engagement.
9. Disclaimers
This website and our services are provided on an "as is" basis. While we take care to ensure the quality of our work, Elden makes no representations that:
- The website will be continuously available or free from errors.
- Any specific business outcome will result from the use of our services.
- AI models or systems we develop will perform identically across all data environments.
Results from AI services depend significantly on the quality of the data, infrastructure, and operational context provided by the client. Elden does not offer professional legal, financial, or medical advice.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Elden's total liability to you arising from or related to these Terms or any service engagement shall not exceed the fees paid by you in the three months preceding the event giving rise to the claim.
Elden shall not be liable for any indirect, incidental, special, or consequential loss, including but not limited to loss of revenue, data, or business opportunity, even if Elden has been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless Elden, its directors, and employees against any claims, losses, or expenses (including legal costs) arising from your breach of these Terms, your use of the website, or your provision of inaccurate information in connection with a service engagement.
12. Termination
Either party may terminate a service engagement by providing written notice. The notice period and consequences of termination will be specified in the Statement of Work. Elden reserves the right to terminate website access for any user who breaches these Terms.

We would prefer to resolve any dispute informally. If you have a concern, please contact us at [email protected] and we will make reasonable efforts to reach a resolution within 30 days.
If informal resolution is not possible, disputes shall be submitted to mediation administered by the Malaysian Mediation Centre before proceeding to litigation.
These Terms are governed by the laws of Malaysia. Both parties submit to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement rights.
